Terms of Service

Seekin provides software-based tools that may include, without limitation:

The Services may interoperate with or reference third-party sites, platforms, or content. Seekin does not control and is not responsible for third-party services, availability, policies, fees, or materials.

Your dealings with third parties are solely between you and the third party. Any mention of a third-party product or platform is for identification only and does not imply endorsement.

Certain features require payment. Fees, renewal terms, and taxes (if any) are presented at checkout or in-product and may change prospectively.

Unless stated otherwise or required by law, fees are non-refundable once charged, including where you stop using the Services mid-cycle or where credits expire.

You authorize Seekin and its payment processors to charge your selected payment method for all applicable fees.

We may suspend paid features for failed payment, suspected fraud, or abuse.

For convenience, Seekin may publish two separate explanatory pages: the Subscription Policy and the Credit Usage Policy (together, the “Summaries”).

The Summaries are provided solely as general guidance to help you understand how subscriptions and credits typically work. They may be updated from time to time without notice, may not describe every edge case, and are not tailored to your situation.

The Summaries do not form part of these Terms, are not incorporated by reference, and do not create any contractual obligation, warranty, representation, or enforceable promise by Seekin. If anything in the Summaries conflicts with these Terms, these Terms control.

Nothing in the Summaries limits any disclaimer or limitation of liability in these Terms.

Seekin may modify, suspend, or discontinue any part of the Services (including features, integrations, supported platforms, or pricing) at any time, with or without notice, subject to applicable law.

We may also update these Terms. If we make material changes, we will take reasonable steps to notify you where practicable (for example, by posting an updated date or in-product notice). Your continued use after the effective date constitutes acceptance unless applicable law requires a different process.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

Seekin does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any output will meet your requirements or be lawful for your intended use in every jurisdiction.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the fullest extent permitted.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SEEKIN OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEEKIN’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SEEKIN FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS DURING THAT PERIOD.

The limitations in this section apply to the fullest extent permitted whether the claim is based in contract, tort (including negligence), strict liability, statute, or any other theory, and even if a limited remedy fails of its essential purpose.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (which may include liability for death or personal injury caused by gross negligence or willful misconduct, where applicable).

You will defend, indemnify, and hold harmless Seekin and its affiliates, and their respective directors, officers, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your content or your use of outputs; (b) your violation of these Terms or applicable law; or (c) your violation of third-party rights.

Seekin may assume exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our reasonable requests.

Seekin respects intellectual property rights and responds to notices of alleged infringement where required by applicable law, including the U.S. Digital Millennium Copyright Act (DMCA) where applicable.

If you believe content processed through the Services infringes your rights, please refer to our separate Copyright & DMCA Notice for how to submit a notice. Seekin may remove or disable access to material in appropriate circumstances.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share personal information. If any conflict arises between these Terms and the Privacy Policy regarding personal data, the Privacy Policy governs solely with respect to personal data processing to the extent required by applicable law.

You may stop using the Services at any time. Seekin may suspend or terminate access to the Services (including accounts) at any time, with or without notice, if we reasonably believe you violated these Terms, pose a security or legal risk, or need to do so to comply with law or protect the Services or other users.

Upon termination, rights granted to you cease, and we may delete your content and account data subject to our Privacy Policy and applicable law.

These Terms constitute the entire agreement between you and Seekin regarding the Services and supersede any prior agreements on the same subject matter.

If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

Seekin’s failure to enforce a provision is not a waiver of its right to enforce it later.

You may not assign or transfer these Terms without Seekin’s prior written consent. Seekin may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Sections intended by their nature to survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) survive termination.

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws.

You agree that the courts of Singapore have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, subject to any non-waivable rights you may have under mandatory consumer protection laws in your country of residence.
